The name of this organization shall be the "Mid-South Racing Association" (hereafter called the 'MSRA', the 'Club').
ARTICLE II: PURPOSE
The purpose of the MSRA is to promote the hobby of building and racing radio controlled model cars and to promote public acceptance and goodwill toward the hobby.
ARTICLE III: MEMBERSHIP
Qualifications
Membership in the MSRA shall be open to all persons, upon application and payment of dues that show genuine interest in the hobby of radio controlled models.
Dues and Assessments Dues and Assessments
The dues rate and initiation fee (if any) shall be set annually by the Club Officers after a through review of the Clubs financial standing. The officers shall establish dues for each class of membership. The membership year will be from January 1 through December 31 of each year.
Annual dues must be paid in full for the current year
All dues must be paid by March 1 of the current year or the member shall be removed from the Club membership roster and shall therefore forfeit all rights and privileges associated with Club membership. Dues will not be prorated. New members joining the Club after August 1st will be charged one half of the yearly rate for the remainder of the current year.
Upon joining or renewing ones membership, the individual must show proof of current R.O.A.R. membership to the treasurer if he intends to race at the Club tracks
Types of Memberships
Standard Membership: Standard Members are entitled to all rights and privileges including voting and holding elected office.
Senior Membership: Senior Members are 65 years of age or older. A Senior Member shall enjoy all the same rights and privileges of a Standard Membership.
Junior Membership: Junior Members are under 18 years of age. They shall enjoy all the same rights and privileges of a Standard Membership except they may not hold elected
office. Junior members over 12 years of age who are accompanied by parent/guardian are eligible to vote.
Family Membership: Family Members are members of the immediate family of a Standard Member. They shall enjoy all the rights and privileges of a Standard Membership except that they must be 18 years of age or older to hold elected office or vote. The intent of having a Family Membership category is to allow the spouse and children (under age 18) of a Standard Member to join the Club without undue financial burden.
Membership Duration: Membership shall be on an annual basis valid from January 1 through December 31 of the current year. Members not renewing their membership by March 1 of the current year shall be removed from the Club membership roster and shall forfeit all rights and privileges associated with Club membership.
Revoking of Membership Status: Any member may be expelled from the Club whenever, in their judgment, the best interest of the Club will be served.
A. The reason for revocation must be presented in its entirety to the board members.
B. The board must have a unanimous vote in order for the revocation to be presented to the membership for a vote.
C. The revocation must be presented in its entirety at a club meeting scheduled with a minimum of 14 days notice.
D. The revocation requires a 2/3 majority vote of the members present at the following meeting scheduled with a minimum of 14 days notice.
E. A member shall only be presented to have his/her membership revoked once per calendar year.
Resignation, Termination, Disciplinary Action, Expulsion and Reinstatement of membership:
A. Any member in good standing may resign his/her membership by giving written notice to the Club.
B. If any member ceases to have the qualification necessary for membership in R.O.A.R., his/her racing privileges in the Club will terminate, subject to reinstatement upon restoration of eligibility.
C. This section provides for enforcement of the Safety Rules that are related to racing activities. Any other unacceptable behavior by an individual member or members, as defined by the club officers, becomes the responsibility of the club officers. Any individual may be expelled from the Club membership by a majority vote of the club members present if such an individual willfully commits any act or omission which is a violation of any of the terms of these Bylaws or the Rules of R.O.A.R., or which is detrimental to R.O.A.R., or to model car racing
D. Any member who is expelled from membership may be reinstated to membership the following year by a 2/3 vote of the club members present at a club meeting scheduled with a minimum of 14 days notice. The reinstatement must be presented in its entirety at the immediately proceeding club meeting.
E. Officers shall have discretionary authority to provide for and to impose disciplinary action for such acts or omissions, which do not justify expulsion from the membership.
ARTICLE IV: OFFICERS
Responsibilities:
A. The officers shall be responsible for the day-to-day operation of the club. They shall call meetings, arrange track setup duties, pay bills, plan events, and ensure the club runs smoothly. All officers must be present club members.
B. Number of Directors-Reserved.
C. Term of Office-The term of the elected officers will from January 1 through December 31.
D. A person must be a club member for at least one year in order to be considered for an officer position.
Officer Duties:
President
The President shall be the executive officer of the Club and shall preside at all meetings. He shall be the spokesperson for the Club. He shall appoint standing and special committees and chairmen as required. He is an ex-officio member of all committees. In the case of a tie vote, he shall cast the deciding vote.
Vice President
The Vice President shall assist the President in all matters and shall assume the duties of the President if, for any reason, he is unable to perform his duties. He shall be responsible for all social events of the Club.
Treasurer/Secretary
The Treasurer/Secretary shall keep accurate minutes of the Club’s proceedings. He/She shall keep an up-to-date record of all members. The Treasurer/Secretary shall keep an exact record of all moneys received and dispersed. The bank account for MSRA shall require at least two signatures of the current board members. He/she will present to the membership an annual report at the first meeting of each year. He/she shall maintain the records in such a manner so that they may be open for inspection at any time. He/she shall make a report of the financial condition of the Club at all meetings. The treasurer/secretary shall have the voting rights of a regular club member, but will not vote on board issues.
1Electric and 1 Nitro Director
The Director shall have charge of organizing and delegating duties and responsibilities to ensure the efficient carry out of weekly racing, special events, writing and publishing a club newsletter, and acting as a liaison with sponsors for special events. Director is responsible for notifying club members of all upcoming events and meeting as well as informing members of other news of special interest. Newsletters and event schedule will be posted on the club website.
Financial Arrangement:
Annual Budget
The Treasurer shall present an annual budget for the upcoming calendar year to the membership at or before the December meeting. A majority vote of all members present at the meeting is required to approve the budget.
Expenditure of Funds
The elected officers, acting as executive committee, are authorized to allocate Club funds as necessary to support club activities and operations. The Club Board of Directors may authorize allocations up to $250 with a majority vote of the board members. Any expenditure that is larger than $250 will require a unanimous vote of the board. The Club will not engage in deficit spending practices or accept any loan obligations.
ARTICLE V: MEETINGS
Meetings:
1. Regular: There shall be a minimum of four club meetings each year.
2. Special: A special meeting of the Club officers and/or members shall be called as necessary by the President or Vice-president.
3. All Meetings must be scheduled and posted a minimum of 14 days in advance.
Voting:
Officer elections will be held by printed ballot and distributed to the entire membership by mail before the December meeting. The ballot shall list all candidates nominated for each office at the November meeting. Ballots may be returned by mail or brought to the December meeting in person. Voting rights shall be limited to members that have participated in at least one race and attended one meeting per calendar year.
ARTICLE VI: RECORD KEEPING
The Club secretary will record the minutes of all meetings.
ARTICLE VII: COMMITTEES
Committees will be appointed as necessary for special events.
ARTICLE VIII: NOMINATIONS, ELECTIONS, AND RECALL
All officers shall be nominated at the November meeting and the election will be held at the December meeting.
Any officer of the Club may be removed from office by the membership whenever, in their judgment, the best interest of the Club will be served thereby, providing the same requirements as are imposed for amending these bylaws are followed.
ARTICLE IX: DISSOLUTION
The Club may be dissolved with the approval of two-thirds majority vote of the total membership.
A. Upon dissolution of the Club, the Officers shall, after paying or making provision for the payment of all of the liabilities of the Club, dispose of all of the assets of the Club exclusively for the purposes of the Club in such manner, such other organization(s), organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time qualify as a tax exempt organization(s) under Section 501[c][3] of the Internal Revenue Code of 1986, as amended, or to such other organizations with a purpose similar to the purposes of this Club, as the Officers shall determine. Any of such assets not so disposed of shall be disposed of by the Court of Common Pleas (or similar court) of the county in which the principal office of this Club is then located, exclusively for such purposes and to such organization(s), as said court shall determine, which are organized and operated exclusively for such purposes.
ARTICLE X: AMENDMENT OF THESE BYLAWS
These bylaws may be amended by a majority vote of the member's at a regular Club meeting, provided the proposed amendment has been presented to the membership in its entirety at the immediately preceding regular meeting. A vote of one-half plus one of the members present is required to pass any motion or amendment to the bylaws.
ARTICLE XI: GRIEVANCE PROCEDURE
The grievance procedure provides a mechanism to enforce existing safety rules by providing a progressive disciplinary system when needed. Although most complaints can be resolved informally, if a complaint is serious or cannot be resolved informally the matter should be referred to the Safety Committee for its consideration by means of a Grievance Form to be filled out and turned into the Safety Committee Chairman. At least one witness is required to sign the Grievance Form.

The Safety Committee shall use its judgment in carrying out action on the following:

First Violation
Viewpoints of both complainants and accused will be considered.
Complainant's name will be disclosed. A verbal reprimand will be given to the accused by the Safety Committee, and this will be recorded in the Committee files.
Second Violation
Complainant's name will be disclosed. The accused has the right to a written rebuttal, to be reviewed by the Committee. If the Committee so decides, the racing privileges of the accused will be suspended for thirty (30) days. Written notice of this shall be issued and a copy published in the Club files.
Third Violation
a. Committee will notify the accused in writing and the Club members via e-mail that the Club will vote on the expulsion of the accused at the next meeting.
b. Said expulsion will last for one-year minimum. (Longer if deemed necessary by the officers).
c. A member may be expelled from the Club only upon a two-thirds (2/3) majority vote of the membership present at the meeting. Voting will be by secret ballot at a regular meeting. The expelled member may reapply for membership after the expiration of the expulsion time period. The three actions will not be enforced unless they are accumulated within a two-year time period. Any member receiving a Grievance, who directs any retaliation against the person filing the Grievance, will be subject to immediate expulsion from the club. This Includes, threats, intimidation, physical harm, intentional equipment damage, or any other action deemed to be retaliatory by the Officers.
ARTICLE XII: SAFETY
All members and their guests must have a current R.O.A.R. membership or show proof of application to race at the Clubs tracks..
The Club shall, from time to time, adopt rules and guidelines, which will lead to the safe operation of our equipment and facilities. These Track Safety Rules shall be posted at the Club's computer table and also shall be given to each member upon joining the Club
All members and their guest must strictly adhere to the R.O.A.R. Safety Rules and all track rules established by the Club.
